Affiliate Program Terms and Conditions

These Terms and Condi. ons (the "Agreement") establish the rules governing the coopera. on between you ("Affiliate") and riventapartners.net ("We," "Us," or "Our").


Par.cipa.on in our Affiliate Program requires that you carefully read, fully understand, and accept the provisions set forth in this Agreement. If you disagree with any of its sec. ons, you should not proceed with registra.on. For any inquiries regarding the program, you may contact us via email at help@riventapartners.com ("Our Contact Email").


In this Agreement, we explain the process of joining our Affiliate Program and outline how you may promote our Website and its services as an Affiliate.

DEFINITIONS

"Affiliate" — Refers to you, the individual or entity applying to participate in the Affiliate Program.

"Affiliate Program" — The partnership between you and us, under which you promote our website by generating traffic through affiliate links, in exchange for commissions as specified in this Agreement.

"Affiliate Sign-Up Form" — The document submitted to enroll in the Affiliate Program, requiring personal, business, payment, and tax details.

"Affiliate Website (s)" — One or more websites owned and operated by you for promotional purposes under this Agreement.

"CPA (Cost Per Acquisition)" — A commission structure where payment is based on a referred player’s first-time deposit (FTD).

"Confidential Information" — Any non-public, proprietary data disclosed by us, including but not limited to business strategies, technical details, financial information, and customer data.

"Hybrid Deals" — A compensation model combining CPA and Revenue Share (RS). We reserve the right to impose a trial period (typically one month) to assess traffic quality. If fewer than five FTDs are generated during this period, we may terminate the agreement without further obligation.

"Insertion Order (IO)" — A binding agreement outlining the terms of an advertising campaign, including placement, duration, costs, and payment conditions.

"Intellectual Property Rights" — All legally protected intangible assets, including patents, trademarks, copyrights, trade secrets, domain names, software rights, and other proprietary interests worldwide.

"Net Generated Revenues (NGR)" — Our monthly revenue from your referrals, minus deductions such as taxes, transaction fees, bonuses, and third-party costs.

"New Depositing Player" — A first-time customer who makes a qualifying deposit with the intent to engage in legitimate transactions with us.

"Referred Customers" — Customers who register on our website using your unique affiliate tracking link, with no prior account history.

"Revenue Share" — The percentage of NGR earned from referred customers, as defined in this Agreement.

"Reward Plan" — A CPA-based commission structure. We reserve the right to withhold payments for accounts involved in fraud, bonus abuse, self-exclusion, or other violations as determined at our sole discretion.

"Sub-Affiliate" — A third party recruited by you under our Affiliate Program, linked to your affiliate account.

"Unfair Advertising" refers to any promotional activity or content that breaches applicable laws, ethical advertising standards, or the advertising restrictions detailed in this Agreement. This includes, but is not limited to, deceptive practices, unauthorized use of intellectual property, or targeting of inappropriate or prohibited audiences.

"Your Website" — The website (s) declared in your Affiliate Sign-Up Form for promotional purposes.


AGREEMENT TERMS

1.1 In order to par. cipate in Our Affiliate Program, You must agree to these Terms & Condi. ons and fully complete the online registra. on form. The PARTNER reserves the sole right to either approve or reject Your applica. on, and such determina. ons are final and cannot be contested. You will be informed of the outcome via email. Upon acceptance, You agree to comply with the provisions of this Agreement in all promo. onal efforts connected to the PARTNER’s services. Further instruc. ons will be included in the confirma. on email. These Terms & Condi. ons set forth the general framework of the partnership, while any specific campaign requirements (if applicable) will be outlined separately in an Inser. on Order.


1.2 The PARTNER may revise or amend this Agreement at its discre. on at any .me. Any material changes will be sent to Your registered email address no less than five (5) days prior to taking effect and will also be published in the Affiliate Terms & Condi. ons sec.on. If You do not agree to the updated terms, You must terminate this Agreement in accordance with the procedures described herein. By con. nuing to par. cipate in the Affiliate Program, or by failing to object a_er the updates are announced, You will be deemed to have accepted the revised Agreement.


LINKS USAGE GUIDELINES

2.1 You are required to use the Links supplied by the PARTNER strictly in the manner agreed upon. Any adjustments to the appearance, placement, or func. onality of these Links must receive prior wriaen approval from the PARTNER.


2.2 Links must never be displayed on any page of Your Website that is directed toward, or accessible by, individuals under the age of eighteen (18).


2.3. The use of Links is prohibited in geographic loca. ons (GEOs) restricted by the PARTNER. Before beginning any promo. onal efforts, You must obtain wriaen confirma. on from the PARTNER specifying the GEOs where ac. vity is permiaed.


2.4 If You plan to publish the Links on websites other than Your own, You must first secure explicit wriaen permission from the PARTNER.


2.5 NON-COMPLIANCE: If You breach any of the Link usage requirements described in this Agreement, the PARTNER reserves the right to deac. vate Your Links. In addi. on, with wriaen no. ce, the PARTNER may immediately terminate this Agreement and withhold all future revenue share from customers referred by You.


STANDARD COMMISSION STRUCTURES

3.1. The commission terms applicable to affiliates are determined on an individual basis through direct nego.a.on between the affiliate and PARTNER. Commission rates, whether structured as percentagebased or fixed amounts, shall be exclusively governed by the specific agreement reached between the par.es. This customized approach is designed to establish equitable compensa. on arrangements that properly account for each affiliate’s dis. nct promo.onal efforts and results. Affiliates must formally agree upon all commission terms with PARTNER prior to commencing promo. onal ac.vi.es. The agreed terms shall be documented in wri. ng and incorporated by reference into this Agreement.


PARTNER’S RIGHTS & OBLIGATIONS

4.1 PARTNER reserves the sole right to accept, reject, or terminate any Affiliate Applica. on at its absolute discre. on without obliga. on to provide jus.fica.on.


4.2 PARTNER shall supply the Affiliate with appropriate promo. onal materials and necessary informa. on to facilitate par.cipa.on in the Affiliate Program.


4.3 PARTNER shall be responsible for:

(a) Monitoring and recording traffic generated through affiliate tracking links;

(b) Calcula. ng net revenues and accrued commissions; and

© Providing the Affiliate with relevant player sta.s.cs and performance reports.


4.4 PARTNER maintains exclusive authority to:

(a) Accept or reject New Customer registra. ons;

(b) Suspend or terminate customer accounts; and

© Implement any measures deemed necessary to comply with regulatory requirements or company policies.


4.5 PARTNER reserves the right to monitor the Affiliate Website (s) to verify compliance with this Agreement. The Affiliate shall provide all requested data to facilitate such monitoring.


4.6 PARTNER will:

(a) Supply affiliate tracking links for implementa. on on the Affiliate Website (s); and

(b) Update such links as necessary, with reasonable no. ce to the Affiliate.


4.7 While PARTNER will make commercially reasonable efforts to:

(a) Properly aaribute Referred Customers using the provided tracking codes; and

(b) Maintain accurate tracking systems, PARTNER shall not be liable for any failure to recognize or aaribute referrals resul. ng from technical issues or improper link implementa.on.


UNLAWFUL AND UNFAIR PRACTICES

5.1 You may not in any way offer added rewards of any kind to Your Referred Customers without PARTNER’s prior wriaen consent. If PARTNER deems You to be in breach of this condi. on, PARTNER may terminate Your affiliate agreement and seize to pay You any further Revenue Share from Your Referred Customers. Neither You nor Your direct rela. ves (spouse, partner, parent, child or sibling), may under no circumstance receive any Revenue Share on Your own or direct rela. ves' Customer account. You are forbidden to in any way modify, redirect, suppress, or subs. tute the opera. on of any buaon, link, or another interac. ve feature of the PARTNER Site. Affiliates and their Sub-Affiliates cannot earn Rewards for the ac. vity carried out by Using own tracking links for personal Use with a purpose to ar. ficially increase their own profit. You are forbidden to aaempt to ar. ficially increase monies payable to You by PARTNER.


5.2 You and Your Sub-Affiliates shall at all .mes comply with all the applicable Gaming laws and regula. ons and all the Data Protec. on laws and regula. ons, including but not limited to the European Direc. ve 2002/58/EC, the General Data Protec. on Regula.on (GDPR) (EU) 2016/679 and any legisla. on and/or binding regula. ons implemen.ng or made pursuant to them.


SPECIFICALLY:

• You may not in any way adver. se to Customers which did not expressly and clearly consent to receive marke. ng communica.ons, or which consent You didn’t store and are not able to prove any. me, or to Customer’s which data have been processed in breach of any Data Protec. on laws and regula. ons

• Every email shall clearly indicate its origins from You and not from Us.

• Every marke. ng email shall contain a clear link to unsubscribe from further marke. ng emails.


5.3 We may immediately terminate this Agreement without prior no. ce if we reasonably determine you have violated any gambling adver. sing regula.ons or data protec. on laws. You will not receive compensa. on for any traffic that you knowingly or should reasonably suspect was generated through improper means, whether or not this causes us harm. In cases where we have reasonable grounds to believe such traffic exists, we retain the right to withhold all payments owed to you under this Agreement.


5.4 The use of automated programs, bots, or any ar. ficial means to create false customer ac. vity is strictly forbidden and cons. tutes a material breach of this agreement. All traffic must come from genuine sources. Viola. ons will result in immediate account termina. on and loss of all accrued commissions. We maintain the right to employ appropriate detec. on and preven. on methods against such fraudulent prac.ces. Without our express wriaen permission, you are prohibited from bidding on or using our trademarks, brand names, or similar varia. ons in any online adver. sing or search campaigns. Addi. onally, you may not register or use domain names that closely resemble or could be confused with our official domains or trademarks. Any breach of these provisions will lead to immediate partnership termina. on and applica. on of penal. es as specified in sec. on 10.2. Please note that marke. ng ac.vi.es directed at Swedish audiences using Swedish language content are legally prohibited in Sweden and will result in immediate account suspension if iden.fied. The same applies to promo. ons targe.ng Dutch audiences using Dutch language materials in the Netherlands, which will similarly lead to prompt account closure.


5.5 For all marke. ng directed at UK customers, you must strictly follow the gambling adver. sing guidelines established by the Commiaees of Adver. sing Prac.ce (CAP and BCAP) and enforced by the Adver. sing Standards Authority. All promo. onal materials, especially those featuring free bets or bonus offers, must be transparent and not misleading. Significant terms and condi. ons must be clearly visible in the adver. sement itself where possible, or no more than one click away for space-limited formats like banners. Non-compliant examples include: offers that don’t prominently display key condi. ons; banner ads that direct customers straight to registra. on without showing terms; or important informa. on hidden where customers would need to scroll to find it. These requirements apply to all marke. ng channels, including social media and print adver.sing. We reserve the right to terminate this Agreement immediately without no. ce if we reasonably believe you have breached these adver. sing standards.


PROHIBITED TOPICS AND ADVERTISING RESTRICTIONS

The Company’s enforcement of these restrictions is intended as a safeguard rather than a breach of contract, designed to reduce potential risks and maintain full compliance.


6.1 Affiliates, including any sub-affiliates, are prohibited from engaging in marketing practices that violate applicable laws, platform rules, or recognized ethical advertising standards. Such forbidden methods include, but are not limited to, misleading statements, improper targeting of protected groups, or the misuse of sensitive topics. Any violation will be treated as a material breach of this Agreement and may result in the immediate suspension or termination of the Affiliate’s account.


PROHIBITED TOPICS:

• Images of real people without their consent (images, videos, voice recordings, and similar copies are prohibited — digital images of real people artificially created or altered using AI — without their explicit permission)

• Public Figures (the impression that political figures support or participate in gambling)

• Religion (religious symbols, texts, imagery, associations, or content that offends the feelings of believers)

• Children and Adolescents (depictions or mentions of minors; content appealing to children; creative work should not be targeted at audiences under 18 years old) as well as pregnant women

• Pornography • Socially Vulnerable Groups (images of people in difficult life situations)

• Military Themes • Violence and Aggression, Cruelty

• Drugs and Alcohol

• Death and Bereavement, Tragic Events


6.2 The specified restrictions represent minimum standards rather than comprehensive limitations. We expressly forbid any additional content that could reasonably be considered offensive, controversial, or damaging to our brand reputation, regardless of whether such content appears in the enumerated list.


6.3 Upon identifying prohibited content, we maintain full discretion to:

• Suspend commission payments temporarily or permanently

• Restrict program participation privileges

• Withhold payments during investigation periods


These protective actions serve to maintain regulatory compliance, platform adherence, and brand protection.


6.4 Any payment suspensions or restrictions implemented under this section shall not be interpreted as contractual violations, but rather as necessary safeguards for legal conformity and risk prevention. The Company’s reasonable determinations regarding violations shall be considered final.


PAYMENTS

7.1 We’ll send your affiliate payments to the account:

a. The minimum sum for a monthly affiliate payment is € 500. If a Revenue Share does not exceed € 500, PARTNER shall be en. tled to withhold and carry forward such sum un. l the end of the first calendar month in which the Revenue Share (including such carried forward sum) exceeds € 500, at which .me payment shall be made. For the avoidance of doubt, You will only receive a payout when there is a posi. ve balance, and it is greater than € 500 in any given month.


a) If an Affiliate’s Revenue Share for a par. cular calendar month is nega. ve, such nega. ve amounts will not be forward to the subsequent month (s).

b) PARTNER shall provide You with statements accessible through Your personal affiliate page, Website detailing the Referred Customers and Your share of Net Generated Revenues.

c) High roller Policy If in any given month a Referred Player referred by a You generates a nega. ve Net Revenue of at least € 7,000, this Referred Players will be deemed to be a "High-Roller". If the aggregate commissionable Net Revenue in that given month for You is nega. ve: The nega. ve net revenue generated by the High-Roller will be carried forward and offset against future net revenue generated by that High-Roller; The nega. ve balance carried forward cannot be set-off against other Referred Players' net revenue. The nega. ve balance of a High-Roller will be reduced by future posi. ve net revenue that they generate in subsequent months. A nega. ve balance will not be increased by future nega. ve Net Revenue unless the High-Roller meets the above-men.oned qualifying criteria in subsequent months. You will be able to view all adjustments in order to track the High-Roller's net breakeven point. Adjustments will be made at the end of each calendar month based on the cumula. ve revenue for the month.


7.2 Should the Account details change, You are solely responsible for the prompt no.fica.on of the PARTNER about the aforemen. oned change. In case You fail to no. fy the PARTNER about the change in the payment account details, PARTNER shall not be responsible for the failure to execute payment due to such a non-no.fica.on.


7.3 You are solely responsible for the protec. on of the payment account creden. als and the related data. Should the change of the account details be caused by a cyber incident and/or Your failure to exercise data protec. on measures, PARTNER shall not be responsible for the failure to execute payment due to such a change.


7.4 WE RESERVE THE RIGHT TO WITHHOLD AFFILIATE PAYMENTS AND/OR SUSPEND OR CLOSE ACCOUNTS WHERE REFERRED CUSTOMERS ARE FOUND TO BE ABUSING ANY WEBSITE PROMOTIONS, WHETHER DONE WITH, OR WITHOUT YOUR KNOWLEDGE REGARDLESS OF WHETHER THE CONCLUDED DEAL HAS A TEST PERIOD OR NOT.


INTELLECTUAL PROPERTY


8.1 During the term of this Agreement, PARTNER grants you a non-exclusive worldwide license to display PARTNER’s branding elements and related materials ("PARTNER Materials") solely for the purpose of incorpora. ng the Links on your website in accordance with this Agreement and any accompanying usage guidelines PARTNER may provide. All intellectual property rights pertaining to the Links, besng products, associated systems, and service-related so_ware, including any accumulated goodwill, shall remain the exclusive property of PARTNER. You are expressly forbidden from modifying any PARTNER Materials without obtaining prior wriaen authoriza. on from PARTNER.


8.2 Your website must maintain a dis. nct visual iden. ty and user experience that clearly differen. ates it from PARTNER’s official website. Under no circumstances should your website’s design or content suggest any affilia. on, partnership, or integra. on with PARTNER’s digital proper. es that goes beyond the authorized affiliate rela. onship established by this Agreement.


WARRANTIES

9.1 All par. es mutually confirm and guarantee that they possess full legal capacity, necessary rights, and proper authoriza. on to: (a) execute this Agreement; (b) grant all specified rights and licenses herein; and © fulfill all contractual obliga. ons throughout the en. re dura.on of this Agreement. You specifically guarantee that you have secured and will con. nuously maintain all required registra. ons, regulatory approvals, consents, and opera. onal licenses necessary to properly perform your du. es and responsibili. es under this Agreement.


TERM & TERMINATION

10.1 This Agreement becomes effec. ve upon our wriaen confirma. on of your successful applica. on under Clause 1 and shall remain in force un. l terminated by either party with 24 hours prior wriaen no.ce.


10.2 PARTNER reserves the right to immediately terminate this Agreement through wriaen no. ce if you commit a material breach of your obliga. ons, resul. ng in forfeiture of all future Revenue Share from Referred Customers.


10.3 Immediate termina. on may occur upon viola. on of PARTNER’s Adver. sing Policy (PROHIBITED TOPICS AND ADVERTISING RESTRICTIONS) to ensure compliance with legal requirements, platorm regula. ons, and brand protec.on.


10.4 To maintain ac. ve status, affiliates must:

• Maintain regular communica. on with PARTNER

• Process outstanding payments promptly Affiliates will be classified as "temporarily inac. ve" a_er 12 months of payment inac. vity, triggering:

• A 7-day no.fica.on sent to the registered email

• A 3% monthly administra. ve fee on outstanding balances if no response 10.5 Permanent inac. vity occurs a_er 18 consecu. ve months of payment neglect, resul. ng in:

• Classifica. on as "permanently inac. ve"

• Poten. al forfeiture of all outstanding balances

• Complete release of PARTNER’s financial obliga. ons regarding such funds


CONFIDENTIAL INFORMATION

11.1 You acknowledge that all Confiden. al Informa.on cons. tutes valuable proprietary assets and trade secrets belonging exclusively to Our Company. During the term of this Agreement and for three years therea_er, you covenant to implement maximum security measures to prevent unauthorized use or disclosure of such informa. on, recognizing that any improper handling may cause irreparable damage. The Confiden. al Informa.on shall not be copied, used, or disclosed except as strictly required for your authorized ac.vi.es under this Agreement or when specifically permiaed in wri. ng by Us.


11.2 Within twenty-four (24) hours of this Agreement’s termina. on or upon Our wriaen demand, you must surrender all physical and digital materials containing, referencing, or derived from Confiden. al Informa.on. This comprehensive obliga. on includes the return of all documents, technical schema. cs, prototypes, measurement instruments, product samples, engineering drawings, and any other embodiments of confiden. al data.


11.3 You are expressly forbidden from ini.a.ng any form of public communica. on — including press statements, social media announcements, or marke. ng disclosures — regarding your affilia. on with Our program without obtaining Our advance wriaen approval of both the fact of disclosure and its specific content. These confiden. ality obliga. ons shall remain binding for thirty-six (36) months following Agreement termina.on. Recognizing that viola. ons may cause non-quan.fiable injury, We expressly reserve the right to pursue injunc. ve relief — including temporary restraining orders and permanent injunc. ons — in addi. on to all available legal remedies, without the necessity of proving actual damages or pos. ng bond.


YOUR PERSONAL DATA

12.1 Both par. es shall strictly adhere to all applicable data protec. on laws and regula. ons, including but not limited to the General Data Protec. on Regula.on (GDPR), when processing any personal informa. on obtained through this Agreement. We implement robust organiza. onal and technical measures to ensure the secure handling of your personal data in accordance with our Privacy Policy, which outlines our data collec. on prac.ces, processing purposes, reten. on periods, and your rights as a data subject. You are required to review and acknowledge our Privacy Policy, available at [insert URL], which forms an integral part of this Agreement. Any processing of personal data shall be limited to what is necessary for the performance of this Agreement and in compliance with the principle of data minimiza.on.


GENERAL PROVISIONS

13.1 This document represents the complete and exclusive understanding between the par. es regarding its subject maaer, replacing all prior agreements, discussions, and understandings. This clause does not restrict liability for fraudulent misrepresenta.on. Should any provision be declared invalid by a competent authority, the remaining terms shall maintain full legal effect.


13.2 All formal communica. ons to PARTNER under this Agreement must be delivered electronically to help@riventapartners.com. PARTNER will transmit no. ces to the email address provided in your applica. on or any subsequently updated address you formally provide.


13.3 Nothing in this Agreement is intended to create a partnership between the par. es, or to authorize either party to act as agent for the other, and neither party shall have authority to act in the name or on behalf of or otherwise to bind the other in any way. 1


3.4 Neither party shall make any announcement rela. ng to this Agreement nor its subject maaer without the prior wriaen approval of the other party except as required by law or by any legal or regulatory authority.


13.5 The validity, construc. on and performance of this Agreement (and any claim, dispute or maaer arising under or in connec. on with it or its enforceability) shall be governed by and construed in accordance with the law of Republic of Cyprus. Each party irrevocably submits to the exclusive jurisdic. on of Cyprus courts over any claim, dispute or maaer arising under or in connec. on with this Agreement or its enforceability.


13.6 In case of any discrepancy between the meanings of any translated versions of this Agreement, the meaning of the English Language version shall prevail.


MISCELLANEOUS

14.1 You accept full responsibility for all marke. ng ac.vi.es conducted by You and Your Sub-Affiliates, including compliance with applicable laws. You agree to defend, indemnify, and hold harmless PARTNER, its affiliates, and their respec. ve officers, directors, employees, and representa. ves from and against all claims, damages, losses, costs (including reasonable legal fees), and expenses arising from: (i) any breach of this Agreement by You or Your Sub-Affiliates; or (ii) viola. on of any laws or regula. ons in connec. on with the Affiliate Program. This indemnity covers all direct and indirect consequences, including lost profits and reputa. onal harm.

14.2 Notwithstanding the above:

14.2.1 PARTNER’s maximum aggregate liability under this Agreement shall not exceed the total commissions paid to You in the six (6) months preceding the claim.

14.2.2 PARTNER excludes liability for: lost revenues or profits; business interrup. on; loss of goodwill; and all indirect or consequen. al damages, whether foreseeable or not.

14.2.3 These limita. ons do not apply to: (i) death or personal injury caused by negligence; or (ii) fraudulent misrepresenta.on.

14.3 Neither party shall be liable for failure to perform obliga. ons due to events beyond reasonable control, including: natural disasters, terrorism, u. lity failures, labor disputes, or government ac.ons. If such event con. nues for more than thirty (30) days, either party may terminate this Agreement immediately by wriaen no.ce.

14.4. DISCLAIMER: WE MAKE NO REPRESENTATION THAT THE OPERATION OF THE PARTNER WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS


MODIFICATIONS

15.1. We reserve the right to modify this Policy at any .me without prior no.ce. Any revised version will take effect immediately upon being published on our website. By con. nuing to use our services a_er such updates, you confirm your acceptance of the changes. We encourage you to review this Policy periodically to remain informed about the latest terms.
